Terms of Service

1. Acceptance of Terms

By accessing or using the Plannrly platform ("Service"), operated by Checketts Propiedad SL ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including tenant administrators, managers, and employees. The individual or entity creating a tenant account ("Subscriber") accepts these Terms on behalf of all users within their organisation.

The Service is offered for professional use, by businesses and by self-employed people acting in the course of their trade. Where a Subscriber is a consumer within the meaning of Spanish consumer law, that law gives them rights these Terms cannot reduce, and nothing here is intended to.

2. Description of Service

Plannrly is a multi-tenant Software-as-a-Service (SaaS) platform for workforce shift scheduling, time tracking, leave management, and employee management. The Service is provided via web browser and may include progressive web app (PWA) capabilities.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to Subscribers.

3. Accounts & Registration

To use the Service, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Each tenant account operates in an isolated environment. The Subscriber is responsible for managing users within their tenant, including granting and revoking access.

You must be at least 16 years of age to create an account. By registering, you represent that you meet this age requirement.

4. Subscriptions & Payment

Plannrly offers subscription plans with varying features. Each plan is charged per active employee per month, subject to a minimum monthly charge: where the per-employee total for a billing period is lower than that minimum, the minimum is charged instead, and where it is higher, only the per-employee total is charged. The charge is calculated on the highest number of active employees on the account during the billing period that has just ended.

All prices are shown exclusive of VAT. The treatment applied depends on where you are established and whether you are a business:

  • Spain: Spanish VAT (IVA) is charged at the applicable rate.
  • Elsewhere in the EU, business customers with a VAT number we have verified against VIES: no VAT is charged and the reverse charge applies under Article 196 of Directive 2006/112/EC. You are responsible for accounting for VAT in your own country.
  • Elsewhere in the EU, customers without a verified VAT number: VAT is charged at the rate of your country, or at the Spanish rate where the EU-wide threshold for cross-border supplies has not been exceeded.
  • Outside the EU: no EU VAT is charged. Any tax due in your own country is your responsibility.

Invoices are issued by Checketts Propiedad SL and reflect the treatment applied. Reverse charge depends on the VAT number you give us remaining valid; if it cannot be verified, VAT is charged.

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

We may change our prices. Subscribers will be given at least 30 days' notice by email or through the Service before a change takes effect for their subscription. The price you are already paying applies until the end of your current billing period, and you may cancel before the change takes effect if you do not accept it.

If a payment fails we will notify the Subscriber and allow a grace period of 14 days, during which further attempts to take payment may be made. If payment has not succeeded by the end of that period, access to the Service may be suspended until the account is brought up to date.

We do not provide pro-rata refunds for partial billing periods. This does not affect any right of withdrawal or other refund right a consumer has under Spanish law.

Where you are a consumer, you have 14 days from entering into the contract to withdraw without giving a reason. If you ask us to begin providing the Service within that period, you may be charged in proportion to what has been provided up to the point you withdraw. To withdraw, contact us using the details in section 13.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Upload malicious code, viruses, or harmful data
  • Attempt to gain unauthorised access to any part of the Service
  • Use the Service to send unsolicited communications (spam)
  • Resell or redistribute the Service without our written consent
  • Interfere with the operation of the Service or other users' access

We reserve the right to suspend or terminate accounts that violate these terms.

6. Data Ownership & Privacy

You retain ownership of all data you input into the Service ("Your Data"). We do not claim ownership of Your Data and will not use it for any purpose other than providing the Service to you.

We process personal data in accordance with our Privacy Policy and applicable data protection legislation, including the EU General Data Protection Regulation (GDPR).

Where the Subscriber acts as data controller for personal data about their employees and we act as data processor, we process that data only on the Subscriber's documented instructions. A data processing agreement meeting the requirements of Article 28 of the GDPR is available on request and forms part of these Terms where it applies.

When a subscription ends the account becomes read-only: your data remains visible and can be exported, but no further changes can be made. You may request an export of Your Data within 90 days of termination. After that period we delete Your Data in accordance with our data retention policy. Subscribing again within those 90 days restores full access with your data intact.

7. Intellectual Property

The Service, including its source code, design, logos, and documentation, is the intellectual property of Checketts Propiedad SL and is protected by applicable copyright and intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during the subscription period.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control.

We will provide reasonable advance notice of planned maintenance where possible.

9. Termination

Either party may terminate the agreement at any time. You may cancel your subscription through your account settings. We may terminate or suspend your account for breach of these Terms, with written notice where practicable.

Upon termination, your access to the Service will cease. Sections regarding data ownership, limitation of liability, and governing law survive termination.

10. Limitation of Liability

To the maximum extent permitted by law, Checketts Propiedad SL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.

Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

11. Changes to Terms

We may update these Terms from time to time. We will notify Subscribers of material changes by email or through the Service at least 30 days before the changes take effect.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of Spain. For Subscribers acting in the course of a business, the courts of Alicante, Spain have exclusive jurisdiction over any dispute. Where a Subscriber is a consumer, this does not deprive them of the protection of the mandatory rules of the country in which they are resident, nor of the right to bring proceedings before the courts of that country.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
